Book excerpt: As the financial services industry becomes increasingly international, the more narrowly defined and historically protected national financial markets become less significant. Consequently, financial institutions must achieve a critical size in order to compete. Bank Mergers & Acquisitions analyses the major issues associated with the large wave of bank mergers and acquisitions in the 1990's. While the effects of these changes have been most pronounced in the commercial banking industry, they also have a profound impact on other financial institutions: insurance firms, investment banks, and institutional investors. Bank Mergers & Acquisitions is divided into three major sections: A general and theoretical background to the topic of bank mergers and acquisitions; the effect of bank mergers on efficiency and shareholders' wealth; and regulatory and legal issues associated with mergers of financial institutions. It brings together contributions from leading scholars and high-level practitioners in economics, finance and law.

Book excerpt: This paper documents global trends in bank activity, consolidation, internationalization, and financial firm conglomeration, and explores the extent to which financial firm risk and systemic risk potential in banking are related to consolidation and conglomeration. We find that while there is a substantial upward trend in conglomeration globally, consolidation and internationalization exhibit uneven patterns across world regions. Trends in consolidation and conglomeration indicate increased risk profiles for large, conglomerate financial firms, and higher levels of systemic risk potential for more concentrated banking systems. We outline research directions aimed at explaining why bank consolidation and conglomeration do not necessarily yield either safer financial firms or more resilient banking systems.

Book excerpt: Because there was a 25 percent reduction in the number of banks between 1980 and 1993, the popular impression has been one of a quot;shrinkingquot; banking industry. Daniel Nolle challenges this view by dissecting the complexity of banking consolidation, particularly given the radical structural changes in commercial banking since 1980. While increased consolidation can be accounted for by heightened competitive pressures that force banks to look for cost savings, greater revenues, or quality improvements via mergers, it has also been stimulated by recent changes in state laws that restricted geographic expansion of banking. The data shows that from 1980 to 1993, 5,202 banks disappeared through mergers, which was three and one-half times the 1,456 banks that failed. The majority of mergers were quot;intramergersquot; (within the same holding company), but the number of quot;intermergersquot; (between unaffiliated banks) has also risen over the past several years. It is Nolle's conclusion that a review of the data on nation-wide trends in banking company structure reveals a complex story I which the distinction between OSMBHCs and MSMBHCs is significant. The whole question of what form of corporate organization banking companies choose is complicated by differences in state banking laws, differences in interstate banking laws, and differences in the pace at which those laws have been changed over this period of time. Such consolidation is expected to continue, especially given increased competition and an expansion of geographic powers. As the twenty-first century approaches, we can expect there to be thousands of banks and thousands of bank holding companies.

Book excerpt: This far-reaching study shows that operating efficiencies are not what are driving today's unrelenting bank merger mania. It suggests that bank mergers and consolidation may have effects that are contrary to consumer and non-financial business interests, such as lower rates of interest, increasing fees, and tighter credit constraints. Dymski recommends several new policies to apply to the evaluation of prospective mergers.

Book excerpt: Megabank consolidations in the United States: The enigma continues, investigates merger of equals among megabanks as a business model and also postulates that higher premiums are paid for the right to integrate with the very large banks versus that paid for the right to integrate with relatively smaller banks. By introducing merger of equals and megabank premium comparatives, the author has filled a void left vacant by previous researchers investigating inorganic growth among banks in the U.S. banking industry. Decision makers, academicians, policy makers, and students of finance will once more be looking for "what is out there" in order to guide understandings and decisions re the integration aspects among financial intermediaries. The book sought to illuminate a clarity of understanding involving the analysis and interpretation of organic versus inorganic growth among megabanks in the United States. Despite the general destruction of shareholders incremental value brought about through inorganic growth, the enigma continues in that banks proceed to integrate at an accelerating pace over the past two decades, though there was a brief lull early in this new Millennium.
